Emendi fir-regolamenti għall-maniġers tal-fondi ta' investiment alternattivi
Emendi fir-regolamenti għall-maniġers tal-fondi ta' investiment alternattivi
—
Il-Fatti
VALLETTA, MT – Il-Ministeru responsabbli mis-servizzi finanzjarji ppubblika l-Avviż Legali 186 tal-2026, li jemenda r-regolamenti dwar il-maniġers tal-fondi ta' investiment alternattivi (AIFMs). Dan l-avviż legali, ippubblikat fl-10 ta' Lulju 2026, jittrasponi żewġ artikoli mid-Direttiva tal-Unjoni Ewropea 2024/927. L-emendi jiffokaw fuq arranġamenti ta' delega, ġestjoni tar-riskju ta' likwidità, rappurtar superviżorju, u servizzi ta' depożitarju u kustodja. Ir-regolamenti l-ġodda jbiddlu t-terminoloġija minn "non-EU AIFMs" għal "third country AIFMs". Barra minn hekk, l-awtorità kompetenti ngħatat is-setgħa li titlob lill-maniġers biex jattivaw jew jiddiżattivaw għodod tal-ġestjoni tal-likwidità f'ċirkostanzi eċċezzjonali, meta jeżistu riskji għall-protezzjoni tal-investituri jew għall-istabbiltà finanzjarja.
—
Xi Jfisser Ghalik
Il-maniġers tal-fondi u l-istituzzjonijiet finanzjarji issa għandhom obbligi ta' rappurtar aktar stretti lejn l-awtoritajiet regolatorji Ewropej, l-ESAs (Awtoritajiet Superviżorji Ewropej) u l-ESRB (Bord Ewropew dwar ir-Riskju Sistemiku). Barra minn hekk, l-awtorità regolatorja f'Malta għandha l-mandat li tiskambja informazzjoni dwar riskji ta' kontroparti ma' awtoritajiet f'pajjiżi oħra tal-Unjoni Ewropea jekk fond jista' jaffettwa l-istabbiltà ta' istituzzjonijiet ta' kreditu jew istituzzjonijiet oħra ta' importanza sistemika. L-investituri huma mistennija jibbenefikaw minn monitoraġġ aħjar tar-riskju ta' likwidità matul perjodi ta' stress fis-suq.
—
Il-Kwistjoni
L-effettività ta' dawn ir-regolamenti tiddependi fuq il-kapaċità tal-awtorità kompetenti li tintervjeni malajr biex timponi l-użu ta' għodod tal-likwidità. Filwaqt li d-Direttiva 2024/927 tipprovdi qafas għal dan, ir-riskju li jinqala' huwa l-bilanċ bejn l-intervent regolatorju u l-awtonomija tal-maniġers tal-fondi fil-ġestjoni ta' portafolli privati. L-implimentazzjoni konkreta se tkun soġġetta għall-gwida tal-Awtorità għas-Servizzi Finanzjarji ta' Malta (MFSA) permezz ta' aġġornamenti fir-Regoli tas-Servizzi ta' Investiment.

L-Istampa l-Kbira
Din il-leġiżlazzjoni hija riżultat dirett tat-traspożizzjoni tad-Direttiva (UE) 2024/927, adottata mill-Parlament Ewropew u l-Kunsill fit-13 ta' Marzu 2024. Ir-reviżjoni tal-qafas tal-AIFM saret biex tiġi indirizzata l-vulnerabbiltà tas-suq osservata f'każijiet ta' kriżijiet ta' likwidità f'fondi mhux tradizzjonali, li wasslu għal tħassib dwar il-kontropartijiet bankarji fl-Unjoni Ewropea.

Amendments to regulations for alternative investment fund managers
—
The Facts
VALLETTA, MT – The ministry responsible for financial services has published Legal Notice 186 of 2026, amending the regulations concerning alternative investment fund managers (AIFMs). This legal notice, published on July 10, 2026, transposes two articles from European Union Directive 2024/927. The amendments focus on delegation arrangements, liquidity risk management, supervisory reporting, and depositary and custody services. The new regulations change the terminology from "non-EU AIFMs" to "third country AIFMs". Furthermore, the competent authority has been empowered to require managers to activate or deactivate liquidity management tools in exceptional circumstances, where there are risks to investor protection or financial stability.
—
What It Means
Fund managers and financial institutions now face stricter reporting obligations towards European regulatory authorities, the ESAs (European Supervisory Authorities), and the ESRB (European Systemic Risk Board). Furthermore, the regulatory authority in Malta has a mandate to exchange information regarding counterparty risks with authorities in other European Union countries if a fund could affect the stability of credit institutions or other systemically relevant institutions. Investors are expected to benefit from better monitoring of liquidity risk during periods of market stress.
—
Different Views
The effectiveness of these regulations depends on the ability of the competent authority to intervene quickly to impose the use of liquidity tools. While Directive 2024/927 provides a framework for this, the potential tension lies in the balance between regulatory intervention and the autonomy of fund managers in managing private portfolios. Concrete implementation will be subject to guidance from the Malta Financial Services Authority (MFSA) through updates to the Investment Services Rules.
—
Big Picture
This legislation is a direct result of the transposition of Directive (EU) 2024/927, adopted by the European Parliament and the Council on March 13, 2024. The revision of the AIFM framework was undertaken to address market vulnerabilities observed in instances of liquidity crises in non-traditional funds, which led to concerns regarding banking counterparties within the European Union.

═════ DEUTSCHE VERSION ═════
Änderungen der Vorschriften für Verwalter alternativer Investmentfonds
—
—
Was das bedeutet
